Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using EZDocPro ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

EZDocPro is a cloud-based software platform providing:

• Core Platform: AI-powered bookkeeping, accounting, document extraction, payroll, bank sync (Plaid), invoicing, and CPA tools
• Business Plan: A dedicated workspace for managing your own company's finances; required prerequisite for all Add-Ons
• Legal Documents Add-On (+$100/mo): AI-assisted legal document drafting, editing, attorney review workflow, and immutable cloud archiving
• Medical Billing Add-On (+$75/mo): AI-powered CPT/ICD-10/HCPCS code lookup, patient encounter billing sessions, and claim management

The Service is provided "as-is" and we reserve the right to modify, suspend, or discontinue features with reasonable notice.

3. Account Registration & Security

• You must provide accurate registration information and keep it current
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately at support@ezdocpro.com of any unauthorized account access
• Each account represents one company or practice. Multi-entity use requires separate accounts or the appropriate plan tier
• Employee accounts and HR permissions are managed by the account owner; you are responsible for access granted to your employees

4. Subscriptions, Billing & Add-Ons

4.1 Plan Billing

Subscriptions are billed monthly or annually in advance. All prices are in USD. Taxes may apply based on your jurisdiction.

• $0.25 per page over your plan's monthly extraction limit
• $0.50 per Plaid bank sync over 10/month
• $10.00 per won lead / $0.25 per dead lead (Business plan Lead Center)
• Additional AI calls beyond Add-On monthly limits billed at per-call rates shown in your account settings

4.4 Cancellation & Refunds

You may cancel at any time; cancellation takes effect at the end of the current billing period. No pro-rated refunds are issued for partial months. Annual plan refunds within 14 days of renewal may be requested by contacting support.

4.5 Failed Payments

If payment fails, we will retry for up to 7 days. After 7 days, accounts may be suspended pending resolution. Data is retained for 90 days after suspension.

5. Acceptable Use

You agree not to use EZDocPro to:

• Upload, process, or transmit unlawful content or content you do not have the right to use
• Engage in fraudulent billing, tax evasion, money laundering, or any illegal financial activity
• Attempt to reverse-engineer, scrape, or extract our AI models, algorithms, or proprietary systems
• Circumvent access controls, rate limits, or HR permission restrictions
• Submit false patient encounter data or fraudulent medical billing claims
• Create legal documents with intent to deceive courts, counterparties, or regulators
• Share login credentials with unauthorized parties or enable competitor access

We reserve the right to suspend accounts found in violation without refund.

6. Legal Documents Add-On — Special Terms

• You bear full legal responsibility for all documents accepted and used through the platform
• Accepted (frozen) documents are archived immutably to Backblaze B2 as your company's permanent record
• The "accept" action is irreversible. Accepted documents cannot be modified; you may only duplicate them as new drafts
• AI generation consumes one credit per creation or AI-edit action (100 credits/month included)
• HR-permissioned roles (paralegal, attorney, legal admin) are set by your account owner and control document creation and acceptance rights

7. Medical Billing Add-On — Special Terms

• You are solely responsible for the accuracy and compliance of all billing claims submitted to payers
• EZDocPro is not a clearinghouse and does not submit claims directly to Medicare, Medicaid, or commercial insurers
• AI code search queries consume credits (200/month included); description text is sent to Gemini API for matching
• Do not enter personally identifying patient information (full name, SSN, DOB) in free-text AI search fields
• HIPAA compliance is the responsibility of the subscribing practice; a BAA is available upon written request for qualifying accounts
• HR-permissioned roles (biller, coder, supervisor) control who can create, edit, and submit billing sessions

8. Your Data & Intellectual Property

• You retain full ownership of all data, documents, and financial records you upload or create on EZDocPro
• By using the Service, you grant ABCD Systems a limited license to process your data solely for the purpose of providing the Service
• We do not claim any rights to AI-generated document content produced under your account
• EZDocPro's software, AI models, interfaces, and templates are proprietary and protected by copyright

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• ABCD Systems is not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability for any claim is limited to the amount you paid for the Service in the 12 months preceding the claim
• We make no warranty that AI-generated accounting categorizations, legal documents, or medical billing codes are accurate, complete, or fit for any purpose
• Professional services (legal, medical, accounting, tax) still require licensed professionals; EZDocPro is a tool, not a replacement

10. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, USA, without regard to conflict of law provisions. Disputes shall be resolved in binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Class action claims are waived.

11. Changes to Terms

We may update these Terms with 30 days' notice via email to account owners. Continued use after the effective date constitutes acceptance. If you object to changes, you may cancel before the effective date.
